Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Plustive API and related services (the “Services”), provided by Plustive Impact Communication Limited (“Plustive”, “we”, “us”). By creating an account, generating an API key, or using the Services, you agree to these Terms on behalf of your business.

1. The Services

Plustive provides a business-to-business developer API for purchasing virtual top-ups and bill payments in Nigeria — including airtime, data, electricity, cable TV, education PINs and broadband — funded from a prepaid wallet. The Services are intended for use by businesses and developers integrating them into their own products.

2. Accounts and API keys

You are responsible for all activity under your account and API keys. Keep your API keys secret; treat them like passwords. You must notify us promptly of any suspected compromise. You are responsible for the accuracy of the information you provide and for the conduct of your own end customers.

3. Prepaid wallet, pricing and refunds

The Services are prepaid. You fund a wallet (for example, by bank transfer to a dedicated account) and each transaction is debited from your balance at the price shown for that product. Prices may change; the price applied is the price in effect at the time of the transaction. Wallet funds are used to pay for the Services and are not a deposit-taking or banking product.

Where a transaction is submitted but ultimately fails to deliver, the corresponding amount is refunded to your wallet automatically as part of our reconciliation process. Completed deliveries are non-refundable. You are responsible for collecting the correct recipient details (such as phone, meter or smartcard numbers) before submitting a transaction.

4. Acceptable use

You agree not to use the Services to:

  • break any applicable law, or any rules of the networks, billers or partners whose products are delivered;
  • commit fraud, launder money, or facilitate any unlawful or deceptive activity;
  • resell or expose the Services in a way that misrepresents their source or our role;
  • attempt to disrupt, reverse-engineer, or gain unauthorised access to the Services or our systems; or
  • exceed documented rate limits or otherwise abuse the platform.

5. Transactions and delivery

We use commercially reasonable efforts to deliver each transaction you submit. Delivery depends on upstream networks and billers and is not guaranteed for every transaction. Each purchase is idempotent on the reference you supply, and ambiguous transactions are reconciled automatically to a final state of success or refund. The terminal state communicated by the API, your transaction lookup, or a webhook is authoritative.

6. Availability and disclaimer

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties not expressly stated, including fitness for a particular purpose and uninterrupted availability. We may modify, suspend or discontinue features with reasonable notice where practicable.

7. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our aggregate liability arising out of or relating to the Services is limited to the amount of fees attributable to the Services in the period giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

8. Suspension and termination

We may suspend or terminate access for breach of these Terms, suspected fraud or abuse, or where required by law or by an upstream partner. You may stop using the Services at any time. On termination, any remaining wallet balance is handled in accordance with applicable law and our then-current account-closure process.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the dashboard or by email. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute, without prejudice to any mandatory consumer or data-protection rights you may have.
